Instructor terms

Effective: January 1, 2025. These Instructor terms are an agreement between you and Uthena LLC, 5830 E 2nd St, 27742, Casper WY 82609, United States, and apply in addition to our Terms and conditions.

Uthena sells courses with Private Label Rights (PLR) and Master Resell Rights (MRR). These terms set out which licenses your courses are sold with, what you earn, how you are paid and what we expect from you. Please read them before you publish a course.

Course types

At Uthena, we focus on the sale of Private Label Rights (PLR) courses and bundles.

  • New instructor requirement: All new courses must be offered with PLR.
  • Why PLR? PLR buyers rebrand and resell your course in their own business, so they pay for rights that most course platforms do not sell.
  • Optional Master Resell Rights (MRR): You can choose to offer MRR, granting buyers the right to sell your course with resale rights, so that their own buyers may resell it as well (resale rights only: no rebranding rights are passed on).
  • Optional Personal license: You can also offer a Personal license (take the course only, no resale rights).
  • Business license: a business or organisation may use your course to train its own staff internally (no resale, no rebranding, no PLR package). It is available on request; see the License terms.
  • What each license allows buyers to do is set out in the License terms. By publishing a course with PLR and/or MRR you agree that buyers receive those rights. No license allows buyers to sell your course on Uthena, Soofos, Udemy, Skillshare or any other course marketplace they don’t own and control.

Earnings

  • Royalty: you earn a 60% royalty on the net amount paid for every sale of your course, for Personal, Business, PLR and MRR licenses, however the buyer found it.
  • Referral bonus: when the buyer came through your own affiliate link (your instructor page, your share links or any Uthena link with your referral code) or used one of your instructor coupons, you also earn a 30% referral bonus on your own courses in the order – 90% in total; Uthena keeps 10%. A click on your link counts for 30 days; if the buyer clicks another affiliate’s link after yours, the latest click decides. A coupon of yours always counts as yours.
  • Affiliate program: you may also promote other instructors’ courses with your link and earn the standard affiliate commission of 20% on those sales, under the Affiliate terms.
  • Bundles: bundle revenue is split equally over the courses in the bundle (e.g. a $1,000 bundle where 4 of the 10 courses are yours → your share is based on $400 (4 / 10 x $1000); your royalty and, when you brought the buyer, your bonus apply to your share.
  • Upgrades and refunds: earnings are calculated on what the buyer actually paid (an upgrade pays on the price difference); refunds reduce royalty and bonus proportionally; a refund after you were paid is deducted from your next payout.

Payments

  • We pay all your earnings (royalties, bonuses and affiliate commissions) once a month, net 30. Earnings from sales in a month are paid within the first 5 working days of the second month after it (January sales are paid in the first 5 working days of March).
  • Payments are issued via PayPal, Stripe or store credit, using the payout details in your instructor studio. You do not have to request a payout.
  • You are responsible for keeping your payout details complete, valid and up to date. Changes you make before the 1st of the month apply to that month’s payout.
  • If your payout details are missing or invalid, or a payment is returned or cannot be completed, we email you and keep the amount as unpaid earnings. We retry on every following payout date.
  • Earnings that could not be paid for 12 months after their payout date are forfeited and stay with Uthena, unless we have agreed otherwise with you in writing.
  • Every payout comes with a statement in your studio.
  • Disputed payments resolved against Uthena incur a $15 fee deducted from earnings.

Signing up and uploading courses

You can sign up as an instructor on the Sell your courses page; your instructor studio opens straight away. Every course is reviewed by Uthena before it goes live.

Instructors must provide:

  • Video files (you retain copyright).
  • A course description and a course image (760x420px).
  • The PLR package files for every course offered with PLR or MRR.
  • Updates: Courses can be updated at any time in your studio.
  • Agreement to selling the PLR and/or MRR rights according to the License terms provided by Uthena.

You confirm that you are the rightful owner of every course you upload, or hold all rights needed to license it under these terms, and that you can prove this on request.

Your files: safety, ownership and responsibility

Buyers download and open the files you upload on their own devices, and many of them resell those files to their own customers. Uthena reviews courses before they go live, but cannot fully inspect every file. You are therefore responsible for everything you upload: videos, lesson materials, the PLR package, images, sales copy and any other file or link (together, “your content”).

You warrant that all of your content:

  • is free of viruses, malware, ransomware, spyware, trojans and any other code, macro or script that could damage, disrupt or gain unauthorised access to a device, system or data, and contains no hidden tracking;
  • does not link to or download anything from a website or service that is unsafe or that you do not control or trust;
  • contains no executable programs unless they are an essential, clearly described part of the course;
  • is your own work, or you hold every right needed (including for third-party material such as music, stock images, fonts, templates and software) to let Uthena sell it and to let buyers use, rebrand and resell it under the Personal, PLR and MRR licenses in the License terms;
  • does not infringe any copyright, trademark, privacy or other right of anyone else, contains no personal data of other people without their permission, and is not unlawful, misleading or harmful;
  • matches the course description and the listed package contents.

Before you upload, scan every file with up-to-date security software and upload it only from a device you trust. If you learn or suspect that any of your files is unsafe or infringes someone’s rights, tell us at once at info@uthena.com and help us resolve it.

What we may do. We may review, scan and test your content, but we have no obligation to do so, and a review or approval by Uthena does not take over your responsibility for it. If we reasonably suspect that your content is unsafe, infringing or otherwise in breach of these terms, we may, without prior notice: disable or remove any file, course or product; suspend or close your instructor account; and hold back earnings from the affected courses while we investigate. Where earnings turn out to come from content that breached these terms, for example sales refunded because of a harmful or infringing file, we may withhold or reclaim them. We will tell you what we did and why, unless the law or an investigation prevents it.

Indemnity. You agree to indemnify, defend and hold harmless Uthena LLC and its officers, employees, contractors and service providers against all claims, demands, losses, damages, fines, costs and expenses (including reasonable legal fees) arising out of or related to your content or a breach of the warranties above, including claims by buyers, their customers and rights holders.

These obligations continue after a course is removed or your instructor account is closed.

Sales reports

Your instructor studio shows your sales, earnings per course and month, your upcoming payouts and a statement for every payout.

Student-teacher interaction

We encourage instructors to:

  • Provide a link to their own support group within the course, if applicable.

Course and bundle pricing

  • Courses: Instructors set pricing between $1 and $10,000 per license. Free courses are not permitted. Each higher license must be priced above the lower one (Personal < PLR < MRR). Business licenses must be priced higher than Personal, but may be priced lower or higher than PLR and MRR, as the instructor prefers.
  • Topic bundles are priced by Uthena administrators.
  • Instructor bundles: Instructors can set a single price for their instructor-specific bundles. An instructor bundle contains at least two of your own live PLR courses, is priced below the sum of their PLR prices, and is reviewed by Uthena before it goes live.

Marketing and promotions

  • Coupon codes: you can create and edit coupons of 5–70% for your own courses in the instructor studio (no automatic or flash sales).
  • Your hub: your instructor page is your storefront; you choose what it features and which coupon it promotes.
  • Previews: Instructors should offer 1–3 preview lectures. If not provided by the instructor, Uthena will automatically select the first 2 units as preview lectures.
  • Promotion: Uthena can promote and sell your course in ways it sees feasible. It can use your promotion text, name and details to promote the course.

Incentives and bonuses

Uthena offers bonuses to drive sales, but instructors are welcome to provide their own incentives, such as free courses, eBooks, downloads, or exclusive group access.

Course removal

  • Instructors can request to remove their courses anytime.
  • Requests require confirmation after one month to ensure validity.
  • Pending earnings are held until the request is confirmed.
  • Removed courses are set to “Private” and “Hidden” for existing students but will no longer be sold.

Platform features

  • Instructor studio: courses, files, pricing, coupons, share links, earnings and payouts are managed in your studio.
  • Email marketing: Instructors can collect email addresses within their courses and invite students to private groups or mailing lists.
